Terms of Service

Welcome to My Well OPS. These Terms of Service (“Terms”) govern your access to and use of the My Well OPS platform, including our websites at mywellops.com and app.mywellops.com, and any related services (collectively, the “Services”).

By creating an account, accessing, or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Services. If you are using the Services on behalf of an organisation or practice, you represent that you have authority to bind that entity to these Terms.

2. Account Registration

  • You must provide accurate, current, and complete information when creating an account, and keep it up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account.
  • Notify us immediately at info@mywellops.com if you suspect unauthorised access to your account.

3. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, fraudulent, or harmful purpose;
  • Upload, store, or transmit content that infringes on third-party rights or violates applicable law (including data you do not have authority to process);
  • Attempt to reverse-engineer, decompile, or otherwise extract the source code of the Services, except where permitted by law;
  • Interfere with or disrupt the integrity, security, or performance of the Services or any data contained therein;
  • Use automated tools (bots, scrapers, crawlers) to access the Services without our express written permission;
  • Resell, sublicense, or otherwise commercially exploit the Services without prior written agreement.

4. Healthcare & Practitioner Responsibilities

My Well OPS is a software platform for licensed practitioners and their clients. We do not provide medical, mental health, legal, or other professional advice. Practitioners using the Services are solely responsible for:

  • Their own clinical judgement and the care they provide;
  • Compliance with the laws, professional standards, and licensing requirements applicable to their practice;
  • Obtaining all necessary consents from clients before storing or transmitting their information through the Services.

5. Subscriptions & Payment

  • Paid plans are billed in advance on a recurring basis (monthly or annually) until cancelled. Pricing is shown at the point of checkout and may change with notice for future billing cycles.
  • Payments are processed by Stripe. By providing payment details you authorise us to charge the applicable fees plus any taxes through your selected payment method.
  • Trial periods, where offered, convert into paid subscriptions automatically at the end of the trial unless you cancel before renewal.
  • Fees are non-refundable except where required by applicable law, or where expressly stated in writing by us.
  • You may cancel your subscription at any time from within the platform; cancellation takes effect at the end of the current billing period.

6. User Content

You retain ownership of any content you upload to the Services (“User Content”), including session notes, documents, client records, website content, and similar material. By using the Services you grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display, and process User Content solely as necessary to provide the Services to you.

You are responsible for the accuracy, legality, and appropriateness of all User Content. We may, but are not obligated to, review, remove, or refuse to host content that we reasonably believe violates these Terms or applicable law.

7. Third-Party Integrations

The Services integrate with third-party services such as Google Calendar, Stripe, Twilio, SendGrid, and others. Your use of those integrations is governed by the third party’s own terms and privacy policies. We are not responsible for the availability or behaviour of third-party services, and we may add, modify, or discontinue integrations at any time.

8. Intellectual Property

The Services, including all software, design, text, graphics, logos, and other materials (excluding User Content), are owned by My Well OPS or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your own internal practice or personal use during the term of these Terms.

9. Privacy

Our handling of personal data is described in the Privacy Policy, which is incorporated into these Terms by reference.

10. Termination

  • You may stop using the Services and delete your account at any time.
  • We may suspend or terminate your access to the Services if you materially breach these Terms, fail to pay fees when due, or use the Services in a way that creates legal or operational risk for us or other users.
  • Upon termination, your right to use the Services ends. We will retain or delete data in accordance with the Privacy Policy and applicable law.

11. Disclaimers

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

12. Limitation of Liability

To the fullest extent permitted by law, My Well OPS, its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or in connection with the Services. Our aggregate liability for any claim arising under these Terms is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold My Well OPS and its affiliates harmless from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your User Content, or your breach of these Terms or applicable law.

14. Changes to the Services or Terms

We may modify the Services or these Terms from time to time. If we make material changes we will notify you via email or a prominent notice within the platform. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales, unless mandatory local law in your jurisdiction provides otherwise.
